Senior Director, Corporate Counsel

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Director, Corporate Counsel based in Canada.

As Senior Director, Corporate Counsel, you will lead the corporate legal function and provide strategic guidance across a broad range of business-critical matters. You will support mergers and acquisitions, international expansion, financing activities, corporate governance, compliance, intellectual property, litigation, and marketing. The role combines sophisticated legal expertise with a pragmatic, business-oriented approach to complex decisions. You will partner closely with senior leaders across Finance, Marketing, People, Corporate Development, and other functions. Operating across multiple jurisdictions, you will help manage legal risk while enabling sustainable growth and innovation. This is a high-impact leadership role for an experienced lawyer who thrives in a fast-paced, collaborative, and evolving environment.

• Lead legal workstreams for mergers and acquisitions, including due diligence, negotiations, transaction documentation, external advisors, and post-closing activities.
• Advise senior stakeholders on corporate governance, securities, entity management, and public company compliance matters.
• Support international expansion by advising on subsidiary formation, regulatory requirements, and legal considerations across multiple jurisdictions.
• Support financing transactions and related securities law compliance.
• Oversee corporate entities, records, subsidiary management, governance processes, and corporate policies.
• Partner with Finance on insurance renewals, tax planning, financial statements, employee equity, commission plans, and other strategic initiatives.
• Review marketing materials and advise business teams on relevant legal and regulatory requirements.
• Develop and deliver compliance training covering applicable legal and regulatory topics.
• Identify legal and business risks across the organization and develop practical strategies to mitigate them.
• Manage litigation and dispute resolution matters, including external counsel, case strategy, negotiations, and internal coordination.
• Oversee the intellectual property portfolio, including trademarks, copyrights, and patents.
• Manage external legal counsel and coordinate cross-functional teams on complex legal matters.
• Serve as a trusted legal advisor to leaders across the organization, balancing thoughtful risk management with commercial priorities.
• Use emerging AI-enabled legal tools thoughtfully to improve research, drafting, review, regulatory monitoring, and overall team efficiency.

Requirements:

• Juris Doctor degree with active bar membership in the United States or Canada.
• At least 10 years of relevant legal experience, including experience at a nationally recognized law firm and ideally a combination of late-stage private and public company environments.
• Experience in technology or SaaS businesses is preferred.
• Strong experience leading or supporting mergers and acquisitions, including due diligence, negotiations, transaction documentation, and post-closing integration.
• Deep knowledge of corporate governance, securities laws, entity management, and public company compliance.
• Experience advising on international expansion, subsidiary structures, and regulatory requirements across multiple jurisdictions.
• Experience supporting financing transactions and associated securities law requirements.
• Strong ability to identify legal and business risks, develop pragmatic mitigation strategies, and communicate recommendations clearly to senior stakeholders.
• Experience managing external counsel and coordinating complex, cross-functional legal projects.
• Excellent judgment, written and verbal communication skills, and attention to detail.
• Practical, collaborative, and solutions-oriented approach to legal work.
• Ability to independently manage competing priorities while maintaining a high standard of execution.
• Comfortable operating in a fast-paced, dynamic environment with ambiguity and changing priorities.
• Strong interest in applying AI and emerging technologies responsibly to improve legal workflows and decision-making.
